EULA - End User License Agreement 

JOHN IBRAHIM TECHNOLOGY END USER LICENSE AGREEMENT 

YOU MAY NOT DOWNLOAD OR INSTALL EVERYGRADE UNTIL YOU HAVE READ AND ACCEPTED ALL THE CONDITIONS OF THIS LICENSE AGREEMENT. BY CONTINUING THE INSTALLATION OF EVERYGRADE, YOU ACKNOWLEDGED THAT YOU HAVE READ, UNDERSTAND, AND AGREED TO BE BOUND BY THE AGREEMENT.

 1. LICENSE John Ibrahim Technology has consented to license the use of this Software to you, subject to the terms and conditions of this Agreement. John Ibrahim Technology grants You a limited, a non-exclusive, non-sublicensable, non-transferable, revocable permit to install and use the Software in machine-readable form only, solely for your school use. You may share the application provided that all parts of the Program, including other proprietary notices and copyright, remain unmodified. Upon termination of software use or this agreement, an authorized representative nominated by you or you shall destroy all copies of the software. 

2. LIMITATIONS You may not duplicate, reproduce, translate, create derivative works of, change, reverse engineer, disassemble or decompile the Software by any means. You might not engage in almost any action which infringe John Ibrahim Technology's rights to the intellectual property rights of the software. You may not rent, sell or license the software. You shall not allow any unauthorized access to or use of the software by anyone. 

3. COPYRIGHTS AND TRADEMARKS The Software and all rights, without limitation including proprietary rights therein, are owned by John Ibrahim Technology and are protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. You acknowledge that no title to the intellectual property in the software is transferred to you. You further acknowledge that title and full ownership rights to the software will remain the exclusive property of John Ibrahim Technology and you will not acquire any rights to the software except as expressly set forth in this license. You agree that any copies of the software will contain exactly the same proprietary notices which appear on and in the software. You'll indemnify John Ibrahim Technology fully against all liabilities, costs and expenses which John Ibrahim Technology may incur to a third party as a result of Your breach of the copyright and trademark provisions of this agreement. You'll not during or at any given time allow any action which infringes the logos used in connection with the Program.

 4. NO WAIVER OR ASSIGNMENT No delay or failure to take action under this particular permit will constitute a waiver and no single waiver will constitute a continuing or subsequent waiver. The advantage of the Agreement shall not be dealt with in any manner by You (whether by assignment, sub-licensing or otherwise) without written consent from John Ibrahim Technology. 

5. DISCLAIMER OF WARRANTY THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. John Ibrahim Technology DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE SOFTWARE, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF NONINFRINGEMENT OF THIRD PARTY RIGHTS, AND IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A SPECIFIC PURPOSE. THE WHOLE RISK REGARDING THE USE AND PERFORMANCE OF THE PROGRAM IS WITH YOU. IN NO EVENT WILL John Ibrahim Technology BE LIABLE FOR ANY CLAIM, WHETHER IN CONTRACT, TORT, OR SOME OTHER THEORY OF LIABILITY. ALL OTHER IMPLIED WARRANTIES INCLUDING BUT NOT RESTRICTED TO WARRANTIES OF MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR FUNCTION NOT DESIGNATED HEREIN ARE EXCLUDED. John Ibrahim Technology MAKES NO WARRANTY THAT ALL SCENARIOS OR INSTANCES OF THE SOFTWARE SHALL BE CORRECT OR PRECISE .

 6. LIMITED LIABILITY IN NO EVENT SHALL John Ibrahim Technology BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR INDIRECT DAMAGES OF ANY SORT ARISING OUT OF THE PROGRAM DOCUMENTATION, VIDEO TUTORIALS, DELIVERY, PERFORMANCE, OR USE OF THE SOFTWARE. IN ANY EVENT, THE LIABILITY OF John Ibrahim Technology FOR ANY CLAIM, WHETHER IN CONTRACT, TORT, OR SOME OTHER THEORY OF LIABILITY WILL NOT EXCEED THE LICENSE FEE OF THE SOFTWARE, PAID BY YOU. John Ibrahim DISCLAIMS ANY LIABILITY RESULTING FROM CHANGES, ERRORS OR OMISSIONS IN THE PROGRAM. 

7.TERM AND TERMINATION This Agreement shall remain in effect until terminated by you or John Ibrahim Technology. John Ibrahim Technology may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice. This Agreement will terminate immediately, without prior notice from John Ibrahim Technology , in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Application and all copies thereof from your mobile device or from your desktop. Upon termination of this Agreement, you shall cease all use of the Application and delete all copies of the Application from your mobile device or from your desktop. 

8. PRIVACY POLICY EveryGrade does not collect personal information or share your data with a third party. 

9. SEVERITY If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect. 

10. AMENDMENTS TO THIS AGREEMENT John Ibrahim Technology reserves the right, at its sole discretion, to modify or replace this Agreement at any time with or without prior notice. 

11. AUTHORITY TO ACCEPT LICENSE AGREEMENT Lastly, you agree and confirm that you have the authorization to represent the school that is going to use this software as well as the the owner of this PC.
